Terms of Service
These Terms govern access to and use of Temlavo, including the account console, Invoice Extraction API, TypeScript SDK and CLI, and official integration materials.
1. The service
Temlavo provides an API-first service that accepts supported invoice documents, extracts structured invoice data using AI-assisted processing, applies documented consistency checks and duplicate signals, and returns a terminal result for customer automation.
Temlavo is intended for business and professional use, not personal or household consumer use. Temlavo is not an accounts-payable system, accounting system, payment service, tax service, legal service, document archive, or substitute for a customer's own review and business controls.
2. Accounts and API keys
You are responsible for the accuracy of account information, for controlling access to your account, and for keeping API keys and other credentials confidential. API keys are server-side secrets and must not be embedded in public client code or shared with unauthorized people.
Actions performed through a valid account or API credential are treated as authorized by the account unless Temlavo has reason to believe the credential has been compromised.
3. Customer content
You retain your rights in files, invoice data, metadata, callback destinations, and other material you submit to the service. You grant Temlavo the limited permission needed to host, transmit, process, transform, and delete that content solely to provide, secure, support, and maintain the service as described in these Terms, the Privacy Notice, and the DPA where applicable.
You are responsible for ensuring that you have a lawful basis and all necessary rights or permissions to submit customer content and instruct Temlavo to process it.
4. Acceptable use
You must not use Temlavo to:
- violate applicable law or another person's rights;
- process content you are not authorized to submit;
- probe, bypass, disable, or interfere with security or access controls;
- share, resell, or expose credentials in an unsafe manner;
- intentionally overload, disrupt, or abuse the service or providers;
- introduce malware or use the service to facilitate harmful activity; or
- misrepresent Temlavo results as a guarantee of correctness, compliance, or payment authorization.
Reasonable automated invoice-processing workloads are expected. Operational rate and abuse safeguards may temporarily reject or defer requests to protect the service and its users.
5. Trial, plans, and billing
The published pricing page describes the current Trial, Starter, and Pro plan allowances and overage pricing. Paid subscriptions are billed through Stripe. Taxes may be added where required.
Processed-page usage is measured by the service and is the basis for plan allowance and applicable overage charges. A genuine processing failure documented as non-billable is not charged as a successfully processed page.
Paid Starter and Pro subscriptions renew monthly until canceled. You may cancel through the Temlavo account billing controls. Cancellation takes effect at the end of the current billing period. Cancellation by itself does not end paid processing before that date; access remains subject to these Terms and the account’s billing status. Charges incurred during the current billing period, including applicable processed-page overages incurred before cancellation takes effect remain payable.
Fees and valid usage charges are generally non-refundable once incurred. Temlavo may issue a refund, credit, or other billing adjustment for a confirmed billing error, duplicate charge, material service issue, or where applicable law requires it.
If you believe a charge is incorrect, duplicated, or otherwise disputed, contact support@temlavo.com promptly so Temlavo can investigate and, where appropriate, correct or adjust the charge. Nothing in these Terms limits any right or remedy that cannot lawfully be waived.
Plan changes and subscription cancellation are handled through the Temlavo account billing controls. Payment methods, billing details, invoices, and receipts are administered through Stripe Customer Portal where available.
6. Results and automation decisions
AI extraction can be wrong, incomplete, or uncertain. Consistency checks operate on the structured values produced by the service and do not independently verify every extracted value against the source document.
A completed result means processing finished and the declared checks found no blocking issue under the document's policy. It may still contain warnings. A needs_review result retains useful structured data but indicates that the customer's automation should stop for review. A failed result has no successful structured invoice result.
You remain responsible for deciding how results are used, including whether an invoice should be accepted, posted, paid, rejected, or escalated. Temlavo does not authorize payments or certify accounting, tax, legal, or regulatory correctness.
7. Availability and changes
Temlavo may update the service, API, documentation, providers, or operational limits to maintain security, reliability, and product quality. Public versioning and compatibility commitments are described in the API and SDK documentation.
No service-level agreement, uptime guarantee, support-response guarantee, or enterprise support commitment applies unless it is agreed separately in writing.
8. Privacy and data processing
The Privacy Notice explains how Temlavo handles account, billing, operational, and document-related information. The Data Processing Addendum is incorporated by reference into these Terms and applies whenever Temlavo processes personal data on your behalf.
9. Intellectual property
Temlavo and its licensors retain all rights in the service, website, documentation, branding, generated integration materials, and underlying software except for customer content and third-party materials.
Any public SDK license is governed by the license included with that SDK package. Publication of the SDK does not grant rights to Temlavo's private service implementation.
10. Disclaimers
To the maximum extent permitted by applicable law, the service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. Temlavo disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and that the service will be uninterrupted, error-free, secure, or suitable for any particular workflow.
Temlavo does not promise that extraction will be correct, complete, or error-free, that every invoice format or field will be understood, or that every material issue will be detected. Synthetic examples, fixtures, benchmarks, documentation examples, and playground responses illustrate product behavior only and do not guarantee equivalent performance on your documents.
11. Liability
You are solely responsible for reviewing Temlavo results and for every accounting, payment, tax, legal, compliance, operational, and business decision or action taken using those results. You are also responsible for your own controls, approvals, backups, source records, downstream systems, and recovery procedures.
To the fullest extent permitted by applicable law, Temlavo will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive loss or damage; loss of profits, revenue, business, contracts, opportunity, goodwill, anticipated savings, or data; costs of substitute services; payment or posting errors; tax, accounting, compliance, or reporting consequences; or losses arising from reliance on extracted data, warnings, checks, duplicate signals, review outcomes, integrations, third-party services, or customer automation.
To the fullest extent permitted by applicable law, Temlavo excludes all liability arising from customer content, unauthorized or unlawful submissions, credential compromise caused by the customer, customer configuration, customer systems, third-party services, or use of the service contrary to these Terms or the documentation. Where liability cannot lawfully be excluded, Temlavo's liability is limited to the minimum extent permitted by applicable law.
To the fullest extent permitted by applicable law, you will defend, indemnify, and hold harmless Temlavo from third-party claims, losses, liabilities, damages, costs, and expenses arising from your customer content, your lack of authority or lawful basis to submit content, your breach of these Terms, your misuse of the service, your downstream decisions or automation, or your violation of law or another person's rights.
Nothing in these Terms excludes or limits liability that applicable law does not permit to be excluded or limited.
12. Suspension and termination
You may stop using the service and cancel a paid subscription through the available account controls, subject to the billing state shown at that time.
Temlavo may suspend or restrict access where reasonably necessary to address security risk, abuse, non-payment, legal requirements, or material breach of these Terms. Where practical, Temlavo will use a proportionate response and preserve ordinary documented recovery paths.
13. Governing law
These Terms are governed by the laws of Cyprus, subject to any mandatory rights or jurisdiction rules that cannot lawfully be displaced.
